Permissions You agree that we may send you communications (via text, email or through the Service) regarding your use of the Service and certain features or applications of the Service you may be interested in. Jurisdictional Issues Craft makes no representation that the Service operates (or is legally permitted to operate) in all geographic areas, or that the Service is appropriate or available for use in other locations. Using the Service from territories where the Service or any content or functionality of the Service or portion thereof is illegal is expressly prohibited. If you or a Permitted User chooses to use the Service, you agree and acknowledge that you and such Permitted User do so on each party’s own initiative and at each party’s own risk, and that you are solely responsible for compliance with all applicable laws. Dispute Resolution 1 In the interest of resolving disputes between you and Craft in the most expedient and cost effective manner, you and Craft agree that any and all disputes arising in connection with these Terms or the use of the Service shall be resolved by binding arbitration. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. Our agreement to arbitrate disputes includes, but is not limited to all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and regardless of whether the claims arise during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND CRAFT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. 2 Notwithstanding subsection (a), we both agree that nothing herein shall be deemed to waive, preclude, or otherwise limit either of our right to (i) bring an individual action in small claims court, (ii) pursue enforcement actions through applicable federal, state, or local agencies where such actions are available, (iii) seek injunctive relief in a court of law, or (iv) to file suit in a court of law to address intellectual property infringement claims. 3 Any arbitration between you and Craft will be governed by the Consumer Arbitration Rules (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms, and will be administered by the AAA. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1–800–778–7879, or by contacting Craft. 4 A party who intends to seek arbitration must first send a written notice of the dispute to the other, by certified mail or Federal Express (signature required), or in the event that we do not have a physical address on file for you, by electronic mail ("Notice"). The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). We agree to use good faith efforts to resolve the claim directly, but if we do not reach an agreement to do so within 30 days after the Notice is received, you or Craft may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by you or Craft shall not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any; provided that if our dispute is finally resolved through arbitration in your favor, Craft shall pay you the greater of (i) the amount awarded by the arbitrator, if any, and (ii) the greatest amount offered by Craft in settlement of the dispute prior to the arbitrator’s award. 5 In the event that you commence arbitration in accordance with these Terms, Craft will reimburse you for your payment of the filing fee, unless your claim is for greater than $10,000, in which case the payment of any fees shall be decided by the AAA Rules. Any arbitration hearings will take place at a location to be agreed upon in Fulton County, Georgia, provided that if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a non-appearance based telephonic hearing, or by an in-person hearing as established by the AAA Rules. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In such case, you agree to reimburse Craft for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits. 6 YOU AND CRAFT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Craft agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. 7 In the event that Craft makes any future change to this arbitration provision (other than a change to the Craft’s address for Notice), you may reject any such change by sending us written notice within 30 days of the change to Craft’s address for Notice, in which case your account with Craft shall be immediately terminated and this arbitration provision, as in effect immediately prior to the amendments you reject shall survive. 8 All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this agreement, to enforce an arbitration award, or to seek injunctive or equitable relief. 9 If only Subsection 6 of this section or the entirety of this section is found to be unenforceable, then the entirety of this section shall be null and void and, in such case, the parties agree that the exclusive jurisdiction and venue described in the "Miscellaneous" section shall govern any action arising out of or related to these Terms. No Agency No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by these Terms. Miscellaneous These Terms, whether interpreted in a court of law or in arbitration, shall be governed by and interpreted according to the laws of the State of Georgia as they apply to agreements entered into and to be performed entirely within Georgia by Georgia residents, and without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Craft agree to submit to the personal and exclusive jurisdiction of the state courts and federal courts located within the Northern District of Georgia for the purpose of litigating all such claims or disputes. These Terms (including the various additional terms incorporated herein by reference) constitute the entire agreement between you and Craft, and supersedes any and all prior agreements, negotiations, or other communications between you and Craft, whether oral or written, with respect to the subject matter hereof, and, except as expressly provided herein, cannot be modified except in writing signed by both parties. Except as set forth in Section 6 of "Dispute Resolution" above, in the event that any provision of these Terms is held to be invalid or unenforceable, then: (a) such provision shall be deemed reformed to the extent strictly necessary to render such provision valid and enforceable, or if not capable of such reformation shall be deemed severed from these Terms; and (b) the validity and enforceability of all of the other provisions hereof, shall in no way be affected or impaired thereby. You acknowledge and understand that if Craft is unable to provide the Service as a result of a force majeure event Craft will not be in breach of these Terms. A force majeure event means any event beyond the control of Craft. The failure to exercise, or delay in exercising, a right, power or remedy provided in these Terms or by law shall not constitute a waiver of that right, power or remedy. Arbitrators can award the same damages and relief that a court can award. Our agreement to arbitrate disputes includes, but is not limited to all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and regardless of whether the claims arise during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND CRAFT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. 2 Notwithstanding subsection (a), we both agree that nothing herein shall be deemed to waive, preclude, or otherwise limit either of our right to (i) bring an individual action in small claims court, (ii) pursue enforcement actions through applicable federal, state, or local agencies where such actions are available, (iii) seek injunctive relief in a court of law, or (iv) to file suit in a court of law to address intellectual property infringement claims. 3 Any arbitration between you and Craft will be governed by the Consumer Arbitration Rules (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms, and will be administered by the AAA. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1–800–778–7879, or by contacting Craft. 4 A party who intends to seek arbitration must first send a written notice of the dispute to the other, by certified mail or Federal Express (signature required), or in the event that we do not have a physical address on file for you, by electronic mail ("Notice"). Craft’s address for Notice is: 4355 Cobb Pkwy. Suite J109 Atlanta, GA 30339. The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). We agree to use good faith efforts to resolve the claim directly, but if we do not reach an agreement to do so within 30 days after the Notice is received, you or Craft may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by you or Craft shall not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any; provided that if our dispute is finally resolved through arbitration in your favor, Craft shall pay you the greater of (i) the amount awarded by the arbitrator, if any, and (ii) the greatest amount offered by Craft in settlement of the dispute prior to the arbitrator’s award. 5 In the event that you commence arbitration in accordance with these Terms, Craft will reimburse you for your payment of the filing fee, unless your claim is for greater than $10,000, in which case the payment of any fees shall be decided by the AAA Rules. Any arbitration hearings will take place at a location to be agreed upon in Fulton County, Georgia, provided that if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a non-appearance based telephonic hearing, or by an in-person hearing as established by the AAA Rules. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In such case, you agree to reimburse Craft for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits. 6 YOU AND CRAFT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Craft agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. 7 In the event that Craft makes any future change to this arbitration provision (other than a change to the Craft’s address for Notice), you may reject any such change by sending us written notice within 30 days of the change to Craft’s address for Notice, in which case your account with Craft shall be immediately terminated and this arbitration provision, as in effect immediately prior to the amendments you reject shall survive. 8 All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this agreement, to enforce an arbitration award, or to seek injunctive or equitable relief. 9 If only Subsection 6 of this section or the entirety of this section is found to be unenforceable, then the entirety of this section shall be null and void and, in such case, the parties agree that the exclusive jurisdiction and venue described in the "Miscellaneous" section shall govern any action arising out of or related to these Terms. No Agency No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by these Terms. Miscellaneous These Terms, whether interpreted in a court of law or in arbitration, shall be governed by and interpreted according to the laws of the State of Georgia as they apply to agreements entered into and to be performed entirely within Georgia by Georgia residents, and without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Craft agree to submit to the personal and exclusive jurisdiction of the state courts and federal courts located within the Northern District of Georgia for the purpose of litigating all such claims or disputes. These Terms (including the various additional terms incorporated herein by reference) constitute the entire agreement between you and Craft, and supersedes any and all prior agreements, negotiations, or other communications between you and Craft, whether oral or written, with respect to the subject matter hereof, and, except as expressly provided herein, cannot be modified except in writing signed by both parties. Except as set forth in Section 6 of "Dispute Resolution" above, in the event that any provision of these Terms is held to be invalid or unenforceable, then: (a) such provision shall be deemed reformed to the extent strictly necessary to render such provision valid and enforceable, or if not capable of such reformation shall be deemed severed from these Terms; and (b) the validity and enforceability of all of the other provisions hereof, shall in no way be affected or impaired thereby. You agree to abide by all applicable laws in your use of the Service, including export control laws and similar regulations governing the transfer of software and other technology outside of the United States or other jurisdictions. You may not assign these Terms without the prior written consent of Craft, whether expressly or by operation of law, including in connection with a merger or change of control, and any such attempted assignment shall be void and of no effect. Craft may assign these Terms without restriction. Subject to the foregoing, these Terms shall be binding on the parties and their respective successors and permitted assigns, heirs, and estates. You acknowledge and understand that if Craft is unable to provide the Service as a result of a force majeure event Craft will not be in breach of these Terms. A force majeure event means any event beyond the control of Craft. The failure to exercise, or delay in exercising, a right, power or remedy provided in these Terms or by law shall not constitute a waiver of that right, power or remedy. Craft’s waiver of any obligation or breach of these Terms shall not operate as a waiver of any other obligation or subsequent breach of these Terms. I would wait for the product to hit the shelves. But, it does seem promising. I would wait for someone famous to take the plunge, and then see the results and take a call. Actually, their clauses are a parallel to public platform funding (IndieGogo, Kickstarter etc). America has a very curious system of civil suits. Corporations are fined in millions, and even in billions, in damages. Though, I feel, a lot of those corporations genuinely deserve it. Especially when you think about future upgrades... new sensor? Alright, just pop it right in front. You want to shoot a S16 project? Swap out the 4K S35 for the S16 module. The grip looks cool. It still will be a fraction of the costs of a traditional cinema camera, even when adding all the elements, which I do kinda agree with, you probably gonna add 'em all. Will they manage to pull it off? Within the time frame? Within the possibilities? With the global shutter? Not sure, but time's gonna tell. But if you have no guide track at all with the camera recordings the synching up gets quite a bit more of a hassle. Therefore a regular 3.5mm jack for scratch audio would have been nice. Aside the fact, low-budget may mean a different thing in the XXI century. That one is something the film world needs to adapt to. Just looking at those renders makes me weep at how many of the mechanical aspects need to be fulfilled flawlessly. It's all very well drawing something novel and pretty, but making them is another matter. That sucker looks like they'd need a Sony R+D budget to pull it off at their expected price. The reason the RED modularity works is that they price their gear to allow for the tremendous costs associated with making them work properly. I hope I'm wrong and they deliver because if they don;t I can see a handful of optimistic early adopters being very disappointed. It is poor business practice when you provide your clients the opportunity to upgrade their old gear for $500 instead of requiring them to upgrade everything for $5000 :). Blackmagic delivers, eventually, but their design isn't nearly this sexy. The Ursa "Mini" is still quite a large camera by my standards, big enough to need the next class of support gear above lightweight/compact DSLR-oriented stuff, which is all that I'm usually willing to schlep around when I'm shooting.
